Conditions for Candidacy for Board of Directors Membership
The Board of Directors consists of an odd number of fifteen members elected by the General Assembly from among its members. At least twelve of them must be working members of the Society or persons who have previously worked in private professional offices for a period of no less than ten years from the date of obtaining their Society membership. The term of Board membership is four years.
The Board must take the procedures to call a General Assembly to elect a new Board at least sixty working days before the end of its term. At its first meeting after convening, the Board of Directors elects the office body — Chairman, one or more Vice-Chairmen, Treasurer, and Secretary-General or Secretary — provided that each of them has been a Society member for ten years and has practiced the profession for a period of no less than ten years.
A candidate for Board of Directors membership must be enjoying his civil and political rights, must have no less than seven years of Society membership, must not have had a final judgment issued against him for a criminal penalty or a custodial penalty in a misdemeanor involving dishonor or breach of trust unless his standing has been restored, and must not be among those listed on terrorism lists.
The Board of Directors is obligated to call the General Assembly to convene to elect a new Board of Directors before the end of its term. Candidacy for Board of Directors membership must be opened for a period of no less than seven days, by an invitation addressed to all working members, in accordance with the provisions of Article 23 of these bylaws. This is announced in a visible and accessible place at the Society's premises. On the day following the closing of candidacy, the Board of Directors must display a list of the candidates' names in a visible and accessible place at the Society's premises and notify the administrative authority within the seven days following the closing of candidacy and sixty days before the date of holding the elections, to elect new members in place of those whose membership has ended — without prejudice to the right of those whose membership has ended to stand for these elections.
If the candidacy conditions are not met in any of the candidates for Board of Directors membership, any concerned party and the competent administrative authority may notify the Society of the name of the candidate required to be excluded along with the justifications and grounds for exclusion. The Society notifies the candidate concerned of the exclusion request, and if he does not withdraw his candidacy request within seven days from the date of notification, the Board of Directors decides on the exclusion request within seven days from the date the matter is presented to it. Any concerned party, in the event of rejecting the Board of Directors' decisions, may file a lawsuit before the Administrative Judiciary Court to decide on it.
Combining membership of the Society's Board of Directors with paid work at the Society or any of its affiliated activities and projects is not permitted.
A Board of Directors member may not receive any sums of money in return for his attendance at sessions or committees.
